Welcome to MyVRP LLC ("MyVRP", "we", "us", or "our"), the owner and operator of MyVRP.com (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
1. Corporate Information
MyVRP.com is owned and operated by MyVRP LLC, a California limited liability company.
2. Description of Service
MyVRP provides an online platform that allows property owners, property managers, and hosts ("Hosts") to create and display portfolios of vacation rental properties and related information.
MyVRP is a marketing and portfolio platform only.
MyVRP:
- Is not a travel agency.
- Is not a real estate broker.
- Is not a property management company.
- Does not own, operate, inspect, or control listed properties.
- Does not process rental payments between guests and Hosts.
- Is not a party to any rental agreement between Hosts and guests.
Any rental transaction, booking, agreement, dispute, cancellation, refund, or claim is solely between the Host and the guest.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.
4. Host Responsibilities
Hosts are solely responsible for:
- The accuracy of all listings and content.
- Property descriptions.
- Photographs and media.
- Rates and availability information.
- Compliance with local laws and regulations.
- Obtaining any required permits, licenses, or authorizations.
- Guest communications.
- Rental agreements.
- Payments, refunds, and cancellations.
Hosts represent that they have all necessary rights to upload content and advertise the properties displayed on the Platform.
Hosts acknowledge and agree that information contained in their listings may be used by MyVRP's automated systems and AI-powered tools to answer user inquiries and provide informational responses.
Hosts are responsible for ensuring that listing information remains accurate and up to date.
5. User Content
Users retain ownership of the content they upload.
By submitting content to the Platform, you grant MyVRP LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, modify, distribute, analyze, process, and use such content for the purpose of operating, improving, marketing, and providing the Platform and its features, including AI-powered tools and automated assistants.
Users may not upload content that:
- Is false or misleading.
- Violates any law.
- Infringes intellectual property rights.
- Contains malware or malicious code.
- Is defamatory, abusive, threatening, or unlawful.
MyVRP reserves the right to remove any content at its sole discretion.
6. No Verification of Listings
MyVRP does not independently verify:
- Property ownership.
- Property condition.
- Property availability.
- Rates or pricing.
- Amenities.
- Listing accuracy.
Guests are solely responsible for conducting their own due diligence before entering into any transaction with a Host.
7. No Booking Services
MyVRP does not facilitate or process reservations, payments, deposits, refunds, or rental contracts. Any communication or transaction between a Host and a guest occurs directly between those parties. MyVRP is not responsible for any losses arising from such transactions.
8. Third-Party Links
The Platform may contain links to third-party websites or services. MyVRP does not control and is not responsible for any third-party websites, products, or services. Use of third-party services is at the user's own risk.
9. Intellectual Property
The Platform, including its design, logos, trademarks, software, and content provided by MyVRP, are owned by MyVRP LLC or its licensors and are protected by applicable intellectual property laws.
Users may not:
- Copy the Platform.
- Reverse engineer the Platform.
- Reproduce branding without permission.
- Use automated scraping tools, bots, crawlers, data-mining tools, or similar technologies to access, collect, copy, monitor, or reproduce information from the Platform without prior written authorization from MyVRP LLC.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYVRP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF INFORMATION, AND AVAILABILITY OF THE PLATFORM.
MYVRP DOES NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE, AVAILABLE AT ALL TIMES, OR THAT USERS WILL RECEIVE INQUIRIES, BOOKINGS, OR GENERATE REVENUE FROM LISTINGS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYVRP SHALL NOT BE LIABLE FOR PROPERTY DAMAGE, PERSONAL INJURY, FRAUD, THEFT, MISREPRESENTATIONS BY HOSTS OR GUESTS, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
IN NO EVENT SHALL MYVRP'S TOTAL LIABILITY EXCEED THE AMOUNT PAID TO MYVRP BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF NO FEES WERE PAID, MYVRP'S LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to defend, indemnify, and hold harmless MyVRP LLC and its members, managers, officers, employees, affiliates, contractors, and agents from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the Platform, your content, your violation of these Terms, or any dispute between Hosts and guests.
13. Termination
MyVRP may suspend or terminate access to the Platform at any time and for any reason, with or without notice. Users may discontinue use of the Platform at any time.
14. Modifications
MyVRP may modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform constitutes acceptance of the updated Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
16. Dispute Resolution
Any dispute arising from these Terms or use of the Platform shall first be attempted to be resolved through good-faith negotiations.
If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in San Diego County, California, except where prohibited by law.
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION AGAINST MYVRP LLC.
17. Subscription Services
Certain features of the Platform may be offered through paid subscription plans ("Subscriptions"), as listed on myvrp.com/pricing.
By purchasing a Subscription, you agree to pay all fees associated with your selected plan. Subscription fees are charged in U.S. Dollars (USD) unless otherwise specified.
MyVRP reserves the right to modify pricing, features, benefits, or subscription plans at any time. Any changes will apply prospectively and will not affect previously paid subscription periods.
MyVRP does not guarantee inquiries, leads, reservations, occupancy, rental income, business growth, or any particular results from use of the Platform. Any examples, testimonials, case studies, or marketing materials are provided for illustrative purposes only.
18. Automatic Renewals
Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
By purchasing a Subscription, you authorize MyVRP LLC and its payment processors to charge your selected payment method for recurring subscription fees.
You may cancel your Subscription at any time through your account settings or by contacting MyVRP. Cancellation will take effect at the end of the current billing cycle. Unless otherwise required by law, no partial refunds will be issued for unused portions of a subscription term.
19. Payments
Payments are processed through independent third-party payment providers. MyVRP LLC does not store complete credit card or payment account information.
You agree to provide accurate, current, and complete payment information. If payment cannot be successfully processed, MyVRP may suspend or terminate access to paid features until payment is received.
MyVRP LLC shall not be responsible for errors, outages, processing delays, chargebacks, or other issues caused by third-party payment providers.
20. SMS and Text Messaging
If you provide a mobile phone number and opt in to receive text messages (SMS) from MyVRP or a Host through the Platform, you agree to the following terms.
Consent
By checking the SMS consent checkbox on an inquiry or booking form, you expressly consent to receive automated text messages related to your reservation, including booking confirmations, check-in and check-out instructions, and stay-related communications. Consent to receive text messages is not required as a condition of using the Platform or booking any property.
Message Frequency and Rates
Message frequency varies based on your reservation activity. Message and data rates may apply depending on your mobile carrier and plan. MyVRP LLC is not responsible for any charges imposed by your mobile carrier.
Opting Out
You may opt out of receiving text messages at any time by replying STOP to any message you receive. For assistance, reply HELP or contact us using the information in Section 28.
Supported mobile carriers are not liable for delayed or undelivered messages. MyVRP LLC reserves the right to change or discontinue SMS communications at any time.
21. Refund Policy
Except where required by applicable law, all subscription fees are non-refundable.
No refunds shall be provided for partial subscription periods, failure to use the Platform, lack of inquiries or bookings, user dissatisfaction after activation, suspension resulting from violations of these Terms, or changes to Platform features or pricing.
MyVRP LLC may, at its sole discretion, issue refunds or credits on a case-by-case basis. Any refund issued in one instance shall not obligate MyVRP LLC to provide refunds in future situations.
22. Taxes
Users are solely responsible for any taxes, duties, VAT, GST, withholding taxes, sales taxes, or similar governmental charges applicable to their purchase or use of the Platform. Where required by law, MyVRP LLC may collect and remit applicable taxes. MyVRP LLC is a United States-based business and issues invoices in accordance with applicable U.S. laws. Users are responsible for determining whether additional tax reporting or documentation requirements apply in their jurisdiction.
23. Promotional Offers and Free Trials
MyVRP LLC may offer free trials, discounts, promotional pricing, beta access, or limited-time offers. Unless otherwise stated, once a free trial period ends, the applicable subscription fee will be charged automatically unless canceled before the end of the trial period.
MyVRP LLC reserves the right to modify, suspend, discontinue, or terminate any promotional offer at any time without liability. Promotional offers may not be combined with other discounts unless expressly stated by MyVRP LLC.
24. AI-Powered Features
MyVRP may provide artificial intelligence ("AI") tools, chatbots, automated assistants, search features, recommendation systems, or other automated technologies to assist users.
AI-generated responses are provided for informational and convenience purposes only. AI-generated information may be inaccurate, incomplete, outdated, misleading, or unavailable.
Users should independently verify important information with the Host before making travel or booking decisions, including property details, amenities, availability, pricing, house rules, check-in instructions, and cancellation policies.
MyVRP LLC shall not be liable for any losses, damages, expenses, booking decisions, travel decisions, misunderstandings, or disputes arising from reliance on AI-generated responses, recommendations, summaries, or automated communications.
25. No Professional Advice
Information provided through the Platform, including AI-generated content, educational materials, support communications, blog content, and recommendations, is provided for informational purposes only and does not constitute legal, tax, accounting, real estate, financial, or business advice.
26. California Consumer Rights
California residents may have additional rights under the California Consumer Privacy Act (CCPA) and other applicable California laws. Please refer to our Privacy Policy at myvrp.com/privacy for more information about your rights and how we handle your personal information.
27. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.
28. Entire Agreement
These Terms, together with our Privacy Policy and any other policies incorporated herein by reference, constitute the entire agreement between you and MyVRP LLC with respect to your use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings between you and MyVRP LLC.
